Board Composition and Appointment of Directors

Clauses 93 to 114 of the Bank's Articles of Association provide for the manner of appointment and retirement of Directors. Directors hold office from the close of the Annual General Meeting at which they are appointed until the end of the consecutive one, at which meeting they become eligible for re-election. The Articles of Association provide that the Chairman and Vice-Chairman are to be appointed by the Directors from amongst their number and shall hold office for a period of one year, unless otherwise decided by a simple majority of the Board. The procedure for election of Directors is governed by the Articles. Any member may nominate an individual in the manner prescribed by the Articles, provided that such nomination is seconded by a member or members who in the aggregate hold at least 20,000 shares between them.

The participation of Directors on Board Committees, as provided for by the Articles, is decided upon by the Board. All such committees include at least one Director.

The current composition of the Board of Directors, is as follows: 

BOARD OF DIRECTORS
Dr. John C. Grech (Chairman)

John C. Grech is a Maltese National. He graduated from the University of Malta in 1978, obtained a Ph.D. in International Economics from the Graduate Institute for International Studies of the University of Geneva.

He served as Chairman of the Bank of Valletta Group, Middle Sea Valletta Life Assurance Limited, the Malta Tourism Authority and as President of the Mediterranean Bank Network. Currently he is Chairman of the Board of Mizzi Organisation, Chairman and Managing Director of EMCS Investments Limited, Chairman of the MelitaUnipol Insurance Agency Limited, Chairman of Central Cement Limited and also visiting professor at the University of Malta.


Masaud M. J. Hayat (Vice Chairman) 

Masaud J. Hayat is a Kuwaiti National. He obtained the Bachelor of Science (Economics) from the University of Kuwait and a Diploma in Banking from the Institute of Banking Studies in Kuwait. Between 1998 and 2010 he was the Chairman of KIPCO Asset Management Co. K.S.C. in Kuwait.

Masaud J.Hayat holds the position of Chief Executive Officer – Banking at Kuwait Projects Company Holding (KIPCO), which is one of the largest diversified holding companies in the Middle East and North Africa with holdings in commercial banking, investment banking, asset management, insurance, media, real estate and manufacturing.


Majed E. Al-Ajeel

Majed Essa Ahmed Al-Ajeel is a Kuwaiti National. He obtained a Bachelor of Science in Architecture and a Master of City and Regional Planning from the Catholic University of America in Washington, DC.

He occupied the position of Director of Technical Office for Investment at the General Organization for Social Insurance before joining Burgan Bank as Vice Chairman in 2007, where he was promoted to Chairman in 2010 till the present day. Mr Al-Ajeel was also a Board member of Burgan Bank between 1998 and 2004.




Eduardo Eguren Linsen

Eduardo Eguren Linsen is a Uruguay National. He is a Chartered Accountant and has obtained the Bachelor of Administration from the University of the Republic of Uruguay – Faculty of Economic Sciences and Administration.

He served as Chief Financial Officer at Citi Bank, Latin America and Mexico and also as Chief Operating Officer with Barclays Bank in London, following which he occupied the position of Chief Executive Office with the same Barclays Bank. Currently he is the Chief Executive Officer of Burgan Bank, Kuwait where he joined in 2010.



Adrian Alejandro Gostuski 

Adrian Alejandro Gostuski is a French National. He obtained an MBA and CPA from the University of Buenos Aires, Argentina.

He occupied the positions of Managing Director and Chief Financial Officer at Banco Nacional De Mexico - Corporate Bank Latin America, Mexico. He joined Barclays Bank, London in 2008 as Chief Financial Officer – Operations & Technology, Global Retail Bank. Mr Gostuski joined Burgan Bank as Group Chief Operations Officer and is presently a Director at Burgan Bank, Turkey.




Rogers LeBaron 

Rogers D. LeBaron is an American and British national.

He was a Director of Financial Institutions in the European Bank for Reconstruction and Development in London from 1996 until 2004. He also held the position of Principal Financial Advisor, Global Financial Markets Department within the IFC.







Mohamed Fekih Ahmed

Mohamed Fekih Ahmed is a Tunisian National. He graduated from the University of Law, Political Economic Studies of Tunisia in Management.

He is the Deputy Chairman and Board Member of the EXCO of Tunis International Bank, and a Member of the Board of Gulf Bank Algeria and the Chairman of the Board of United Gulf Financial Services in Tunis since 1983.






Rabih Soukarieh 

Rabih Soukarieh is a Lebanese National. He obtained a Master of Business Administration from the University of Boston, USA and a Bachelor of Science from Indiana, USA. Between 2004 and 2007, he occupied the position of Group Chief Financial Officer at Wataniya International FZ LLC Emirates of Dubai, UAE, a telecommunications company.

He was Chief Executive Officer of United Gulf Financial Services Company in 2008. He now covers the position of Acting Chief Executive Officer at United Gulf Bank B.S.C. – Investment Banking in Bahrain where he also held previous posts since 2003. Rabih Soukarieh is a Member of the Chartered Financial Analysts.


Osama Talat Al-Ghoussein 

Osama Talat Al-Ghoussein is a Kuwaiti national. He graduated from the George Washington University where he obtained a Bachelor in Arts and Business Administration/Political Science.

He worked for the Commercial Bank of Kuwait in Kuwait, London and New York. He was the Vice President/Regional Head of Bahrain International Bank in Bahrain and New York. Mr. Al-Ghoussein held the position of Assistant General Manager/Senior Manager/Private and Retail Banking with Qatar National Bank in Doha as well as Citigroup Global Markets Inc as a Regional Manger/Middle East/Institutional Global Equities Sales. He also held the position of Director/Deputy CEO/Head of Private Banking – MENA/India/Pakistan with Credit Suisse Group in Dubai/DIFC. He also worked for Standard Chartered Private Bank in Dubai as Chief Executive Officer & Managing Director for the Middle East/North Africa, India and Pakistan. Between 2009 and 2013 he occupied the post of Senior Vice President with Pictet & Cie, Dubai Representative Office.

He is current working for Kuwait Projects Company (KIPCO Holding Company) as Senior Vice President and Deputy Chief Executive Officer, Banking.
